Terms of Service

These Terms of Service ("Terms") govern your access to and use of Zairoo AI, including our website, applications, content, learning tools, and related services provided to you by Wild Dynasty Pte Ltd (collectively, the "Services"). These Terms, together with any service-specific terms, school agreement or student data privacy addenda, form a binding legal agreement between you and Wild Dynasty Pte Ltd.

If you use the Services on behalf of a school, or other organisation, you represent that you are authorised to bind that organisation to these Terms. In that case, "you" means both you and that organisation.

By creating an account, or using the Services, you agree to these Terms.

Zairoo AI provides educational technology services utilizing Artificial Intelligence (AI). We may modify or remove features for maintenance, security, or legal reasons. We do not guarantee that every feature will always be available or that the Services will be uninterrupted or error-free.

If we operate parts of the Services through affiliates, vendors, channel partners, or school-authorized implementation partners, you acknowledge that they may support delivery of the Services on our behalf, subject to applicable agreements and law.

To access certain features, you may need to create an account. You agree to provide accurate and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You may not share login credentials except as expressly permitted for institutional or administrative access. You must promptly notify us of any unauthorized use.

You must not use the Services for unlawful purposes or in any way that violates these Terms.

You may not:

• use the Services in violation of any law, regulation, school policy, or third-party right;
• access or use the Services to harm, exploit, harass, or endanger others;
• upload malware, malicious code, or content intended to disrupt systems or users;
• attempt to gain unauthorized access to any account, system, or network;
• interfere with the integrity, performance, or security of the Services;
• scrape, crawl, copy, or harvest data or content from the Services except as expressly authorized;
• attempt to reverse engineer our underlying AI models;
• use the Services to create a competing product or benchmark the Services without our written permission;
• upload content that is infringing, defamatory, unlawful, or violates privacy rights; or
• misuse the Services in a way that is abusive, deceptive, or academically dishonest.

The Services may allow you to submit, upload, store, generate, or share content, including assignments, submissions, messages, documents, lesson materials, feedback, and other materials ("User Content").

You retain ownership of content you create, subject to the rights you grant us in these Terms. You grant us a license to host and process this content only as necessary to provide and improve the Services.

You represent and warrant that:

• you have the rights and permissions needed to provide the User Content;
• your User Content does not violate applicable law or third-party rights; and
• you have obtained any consent needed to submit User Content relating to students or minors.

Zairoo AI uses automated systems. You acknowledge that AI-generated outputs may contain inaccuracies. The Services are intended for educational support and do not constitute official grading or professional advice. Users are responsible for verifying AI outputs before relying on them for academic assessments.

As between you and us, you retain rights in data you submit to the Services, subject to our rights to process that data as described in these Terms and our Privacy Policy. If a school, district, or other organisation provides data to us or authorises users to access the Services, that organisation is responsible for ensuring it has the authority to do so. If we process student data on behalf of an educational institution, our handling of that data is governed by our Data Intermediary obligations (Section 20).

If there is a conflict between these Terms and an agreement, the specific agreement takes precedence over these Terms.

We do not obtain ownership of student records, school records, or other customer data solely because that data is processed through the Services.

If the Services includes export or deletion functionality, you may use those features in accordance with your plan and account permissions. To initiate an account deletion request, please contact our support team at business@zairoo.ai or utilize any of the automated deletion tools provided within your account settings.

In accordance with Singapore law, users have the right to request their data in a structured, machine-readable format. After account termination, we retain data only as long as legally necessary.

The Services and all associated intellectual property are owned by Wild Dynasty Pte Ltd, and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-transferable, revocable right to access and use the Services for your internal educational, personal, or business purposes, as applicable to your plan. Except as expressly permitted in writing, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services.

If we offer a free trial or free plan, we may limit features, storage, support, or usage. We may modify or discontinue a free tier or trial at any time, subject to applicable law. At the end of a free trial, your paid subscription may begin automatically if that was clearly disclosed during signup and you have not cancelled before renewal.

If you purchase a paid plan, you agree to pay all fees associated with your plan. You authorize us and our payment processors to charge your selected payment method for recurring or one-time charges associated with your account. We reserve the right to modify the features, functionality, or technical specifications of our paid plans; however, if a change materially impacts your use of the service, we will provide reasonable advance notice.

If your plan renews automatically, we will disclose that before purchase. You may cancel renewal in accordance with the cancellation terms presented at signup or in your account settings.

Unless otherwise stated:

• fees are billed in advance;
• Payments are non-refundable except where required by Singapore law; and
• we may change pricing on a prospective basis with reasonable advance notice.

If payment fails, we may suspend or downgrade access to your account or certain features until all outstanding fees are received.

If you send us suggestions, ideas, or feedback about the Services, you agree that we may use any suggestions you provide without restriction.

The Services may integrate with or rely on third-party services, including hosting providers, payment processors, analytics tools, communication vendors, identity providers, or learning management system (LMS) integrations.

We do not control, and are not responsible for, the availability, security, or privacy practices of these third-party integrations. Any integration with third-party platforms is provided for your convenience and for the enhancement of educational delivery. Your access to and use of such services are governed solely by the respective agreements, terms of service, and privacy policies of those third-party providers.

We do not warrant the continued compatibility of our Services with any third-party software or systems. To the maximum extent permitted by Singapore law, we are not liable for any loss, data breach, or disruption of service resulting from your use of, or reliance on, third-party integrations or for any acts or omissions of such providers.

Our Privacy Policy explains how we collect, use, disclose, and protect information. Your use of the Services is subject to our Privacy Policy, which is incorporated herein by reference.

We reserve the right to suspend or terminate your access to the Services if you breach these Terms, or if your use of the Services poses a security threat, potential infringement of intellectual property, or subjects us or our users to third-party liability.

You may cease using the Services at any time. You may also close your account through the designated cancellation features within your account settings or by contacting us at business@zairoo.ai.

Upon termination, your right to access or use the Services ceases immediately. However, provisions that by their nature should survive termination shall remain in full force and effect, including but not limited to: intellectual property ownership, outstanding payment obligations, warranty disclaimers, limitations of liability, indemnification, and dispute resolution procedures.

In the event we elect to discontinue the Services or materially reduce core paid functionality, we will provide the notice or remedy required by applicable law or any specific agreement executed between you and Wild Dynasty Pte Ltd.

To the fullest extent permitted by law, the Services are provided "as is" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, accurate, or free from errors, or that any content or output will meet your expectations.

To the fullest extent permitted by law, we and our affiliates, licensors, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the Services or these Terms.

To the maximum extent permitted by the Unfair Contract Terms Act (cap. 396) of Singapore, Wild Dynasty Pte Ltd shall not be liable to you (the user) or the minor user for any indirect, incidental, or consequential losses which may be incurred, including but not limited to:

• any reliance placed by you on the completeness, accuracy or existence of any advertising of the services;
• any changes which Wild Dynasty Pte Ltd may make to the services, or for any permanent or temporary cessation in the provision of the services;
• the deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the services;
• your failure to provide Wild Dynasty Pte Ltd with accurate information while using the services;
• your failure to keep your password or account details secure and confidential;
• Wild Dynasty Pte Ltd's total liability shall not exceed the fees paid by you in the 12 months preceding the claim; and
• nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Singapore law.

To the fullest extent permitted by law, you agree to indemnify Wild Dynasty Pte Ltd against third-party claims arising from your breach of these Terms.

For Singapore Government Schools, this indemnity is limited to the extent permitted by the Government Proceedings Act.

You agree that we may send you service-related notices by email or through the platform, or by other reasonable means.

You are responsible for keeping your contact information current so you can receive important notices about your account, the Services, and these Terms.

These Terms are governed by the laws of the Republic of Singapore. Any disputes are subject to the exclusive jurisdiction of the Singapore Courts.

When processing data for a School, Zairoo AI acts as a Data Intermediary under the PDPA and will:

• (i) process data only per the School's instructions;
• (ii) notify the School of any data breach within 24 hours; and
• (iii) delete student data within 30 days of contract termination.

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the "Last updated" date and, where appropriate, by providing notice through the Services or by email.

If you continue to use the Services after updated Terms become effective, you agree to the revised Terms.

If applicable law requires a different form of consent or notice for certain changes, we will follow those requirements.
